GERA-IDENT website has a log-in area where registered users can download software and related documentation.

2.1 User registration

The download area of the GERA-IDENT website can only be accessed by users who have been assigned a (time-limited) user account and password by GERA-IDENT.

2.2 Terms of software use

The GERA-IDENT software terms of licence as amended shall apply to the use of software.

2.2.1 Software copyright

The software made available on the GERA-IDENT website is protected by copyright.

2.2.2 Limitation on liability

The download and use of the GERA-IDENT software and documentation are at the user’s own risk. No liability will be accepted by GERA-IDENT GmbH for any damage arising from it.

GERA-IDENT GmbH shall be liable for deliberate action and coarse negligence only.

3. Choice of law/Jurisdiction/Miscellaneous

(a) German law shall apply to all business relations including any future business between the customer and GERA-IDENT GmbH excluding the UN Sales Convention and the Hague Convention relating to a Uniform Law on the International Sale of Goods.

(b) If and when the customer is a merchant as defined by the German Commercial Code, legal person under public law or special fund under public law, Gera shall be the sole place of jurisdiction for all disputes. GERA-IDENT GmbH shall be entitled, however, to file an action against the customer at its general place of jurisdiction.

(c) Should a provision of these Terms and Conditions be or become invalid or unenforceable, the validity of the other provisions shall not be affected by it. The parties undertake to replace such invalid or unenforceable provision by one that is valid and enforceable and comes as close as possible to what the parties had commercially intended by the relevant provision.

(d) The contractual relationship shall be subject to written form. Changes and supplements of the contract and these Terms and Conditions of Sale have to be confirmed by us in written form.
